MMT PREP, LLC (P-VAULT) – TERMS OF USE
Effective Date: February 21, 2025
These Terms of Use (“Agreement”) set forth the terms and conditions governing your access to and use of the online services, website(s), and associated software, including but not limited to p-vault.com (collectively, the “Services”), which are provided under MMT Prep, LLC (“MMT Prep,” “we,” “us,” or “our”) and its subsidiary brand p‑vault.
By accessing or using the Services (including any free trials or demos), or by purchasing a subscription to any of our products or Services, you confirm that you have read, understood, and agree to be bound by this Agreement. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We may amend this Agreement at any time by posting revised terms at p-vault.com or our affiliated websites. Such amendments become effective 30 days after posting. Your continued use of the Services after amendments become effective constitutes your acceptance of the revised terms.

- ACCEPTANCE OF TERMS
1. OUR SERVICES
1.1 Scope
MMT Prep provides exam-preparation, educational content, and related digital tools through p‑vault and other products (collectively, the “Services”). These Services may include SAT/ACT/AP or other exam prep materials, question banks, practice tests, video tutorials, and any other features we choose to offer.
1.2 Use in Other Jurisdictions
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation. Those who choose to access the Services from other locations do so on their own initiative and bear sole responsibility for compliance with local laws, if and to the extent local laws are applicable.
1.3 Not Industry-Specific Compliance
Our Services are not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, or GLBA). If your interactions would be subject to such laws, you must not use our Services in a way that would violate those regulations.
2. INTELLECTUAL PROPERTY RIGHTS
2.1 Our Intellectual Property
We (and/or our licensors) are the owners of all intellectual property rights in and to the Services, including all source code, databases, software, website designs, text, audio, video, photographs, graphics, and related content (collectively, the “Content”), as well as all trademarks, service marks, and logos (collectively, the “Marks”). These are protected by worldwide copyright, trademark, and other intellectual property laws.
2.2 Your Use of Our Services
Subject to your full compliance with this Agreement and the “Prohibited Activities” set forth below, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access the Services for your personal, non-commercial use only.
- Download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use, provided you do not remove any proprietary notices.
No right, title, or interest in or to the Services, Content, or Marks is transferred to you. Any use not expressly permitted in this Agreement is prohibited.
2.3 Your Submissions
If you send or post to us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree that all intellectual property rights in such Submissions will automatically be assigned to MMT Prep. We shall own the Submissions and may use and disseminate them for any lawful purpose without acknowledgment or compensation to you.
You represent and warrant that your Submissions are original or that you have the necessary rights to provide them, and that they do not violate third-party rights or contain any confidential information.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and update it as necessary.
- You have the legal capacity and agree to comply with this Agreement.
- You are at least 13 years old, and if you are a minor in your jurisdiction, you have parental permission to use the Services.
- You will not access the Services through automated or non-human means (bots, scripts, etc.) except as expressly permitted.
- You will not use the Services for any illegal or unauthorized purpose.
- Your use of the Services does not violate any applicable law or regulation.
We reserve the right to suspend or terminate your account if you provide untrue, inaccurate, or incomplete information.
4. USER REGISTRATION
You may be required to register an account to use certain portions of the Services. You are responsible for keeping your password confidential and for all activity under your account. We reserve the right to remove or change usernames that we deem offensive or inappropriate.
5. PRODUCTS
All products and content are subject to availability. We reserve the right to discontinue or modify any product at any time. Pricing for all products is also subject to change at our discretion.
6. PURCHASES AND PAYMENT
6.1 Payment Methods
We may accept credit/debit cards (Visa, Mastercard, American Express, Discover), PayPal, or other payment methods as indicated on our site. You agree to provide current, complete, and accurate payment information and to promptly update your payment method and contact details. Sales tax may be added as required.
6.2 Authorization
By placing an order, you authorize us to charge your payment method for the total amount (including any taxes and shipping fees, if applicable).
6.3 Order Refusal or Cancellation
We reserve the right to refuse or cancel any order for reasons including fraudulent or unauthorized activity, or if we suspect that an order violates this Agreement. If we cancel an order that has already been charged, we will issue a refund consistent with our policies.
6.4 Pricing Errors
We reserve the right to correct any errors in pricing, even if we have already requested or received payment.
7. SUBSCRIPTIONS
7.1 Billing and Renewal
Your subscription may automatically renew unless you cancel. By subscribing, you consent to recurring charges to your chosen payment method without requiring prior approval for each renewal, until you cancel. The length of your billing cycle depends on your selected plan (e.g., monthly or annually).
7.2 Free Trial
We may offer a free trial to new users. At the end of the trial, you will be charged according to the selected subscription unless you cancel before the trial ends.
7.3 Cancellation
You can cancel your subscription at any time by logging into your account. Cancellation takes effect at the end of the current paid term. If you have questions or concerns, please contact us at support@mmtprep.com.
7.4 Fee Changes
We may adjust subscription fees at our discretion, and will communicate any price changes to you in accordance with applicable law. Continued use of the Services after a fee change becomes effective constitutes your agreement to pay the modified fee.
8. REFUNDS POLICY
8.1 General Policy
Unless explicitly stated otherwise (e.g., a specific product page or offer), all sales are final and nonrefundable.
8.2 Company Discretion
We may, at our sole discretion, consider refunds or credits in extraordinary circumstances (e.g., an obvious error on our part).
8.3 Violation of Terms
If your account is suspended or terminated for violation of this Agreement, you forfeit any eligibility for a refund.
9. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than what we make available. Specifically, you agree not to:
- Collect or Scrape Data: Systematically retrieve data or content without our express written permission.
- Circumvent Security: Disable or interfere with security features, or try to bypass access control measures.
- Infringe IP: Copy, reproduce, modify, distribute, publicly display, sell, or license our Content or Marks without permission.
- Harass or Harm: Use information obtained via the Services to harass, abuse, or harm another person.
- Illegal/Unauthorized Use: Use the Services in violation of any law or regulation.
- Framing or Linking: Engage in unauthorized framing of or deep-linking to the Services.
- Viruses or Malicious Code: Upload or transmit harmful code, including viruses, Trojan horses, or excessive spam.
- Automated Use: Use data mining, robots, or similar data-gathering tools, unless specifically permitted.
- Impersonation: Impersonate another user or person, or misrepresent your affiliation.
- Reverse Engineer: Decompile, disassemble, or reverse-engineer our software, unless permitted by law.
- Multiple Users: Sell, rent, lease, or otherwise share your account or subscription credentials.
- Compete with Us: Use the Services to build or enhance a competing product or service.
Any breach of these restrictions may result in immediate account termination, without refund, and potential legal action.
10. USER GENERATED CONTRIBUTIONS
We may offer areas for you to create, submit, post, or transmit content (e.g., text, images, comments, reviews) (“Contributions”). Contributions may be visible to other users or third parties. You agree that:
- You own or have the necessary licenses, rights, consents, or permissions to post your Contributions.
- Your Contributions do not violate third-party rights (including privacy, publicity, or intellectual property).
- Your Contributions are not unlawful, obscene, threatening, defamatory, or otherwise objectionable, as determined by us.
- You will not upload viruses, malware, or other harmful code in your Contributions.
We reserve the right to remove or refuse any user Contributions for any reason.
11. CONTRIBUTION LICENSE
By posting Contributions, you grant us (and our affiliates) a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Contributions in connection with the Services and our business. You also waive any moral rights in such Contributions, to the extent allowable by law.
12. GUIDELINES FOR REVIEWS
If you submit reviews or ratings, you agree that:
- You have firsthand experience with the product or service being reviewed.
- Your review is honest, accurate, and free of profanity, hate speech, or references to illegal activity.
- You are not affiliated with competitors if posting negative reviews.
- You do not organize a campaign encouraging others to post reviews, whether positive or negative.
We may accept, reject, or remove reviews at our sole discretion.
13. SERVICES MANAGEMENT
We reserve the right (but not the obligation) to:
- Monitor the Services for violations of this Agreement.
- Take appropriate legal action against anyone violating the law or this Agreement.
- Refuse, restrict, or limit the availability of any of your Contributions.
- Remove or disable all files and content that are excessively large or burdensome to our systems.
- Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate their proper functioning.
14. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy (or as otherwise provided on our sites), which is incorporated into this Agreement by reference. By using the Services, you agree to the terms of our Privacy Policy.
Data Hosting and Transfers: Our Services may be hosted in the United States. If you access the Services from outside the U.S., you understand and agree that your data may be transferred, stored, and processed in the U.S. or other jurisdictions.
Children’s Privacy: We do not knowingly accept information from children under the age of 13 without parental consent. If we become aware that we have unintentionally collected data from a child under 13, we will delete that information.
15. TERM AND TERMINATION
This Agreement remains in full force while you use the Services. We may suspend or terminate your account and access to the Services immediately and without notice if:
- You breach any representation, warranty, or covenant under this Agreement.
- Your use of the Services violates applicable law or regulation.
- We otherwise determine it is in our best interest to terminate.
If your account is terminated for any reason, you are prohibited from creating a new account under your own or any other name. We may take legal action for unauthorized account creation or continued use after termination.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable if any part of the Services is unavailable at any time or for any period. We do not guarantee that the Services will always be free of errors or interruptions.
17. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of Oregon, U.S.A., without regard to conflict-of-laws principles. The federal and state courts located in Portland, Oregon, shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Services.
18. DISPUTE RESOLUTION
18.1 Negotiation
In the event of a dispute, you agree to first contact us at support@mmtprep.com to attempt to resolve the issue informally.
18.2 Arbitration
If we cannot resolve a dispute informally, you and MMT Prep agree to resolve any claim or controversy arising out of or relating to the Services or this Agreement by binding arbitration in Portland, Oregon. Arbitration shall be administered by a reputable arbitration provider. Any judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. You and MMT Prep each waive the right to a trial by jury.
18.3 Class Action Waiver
All claims must be brought on an individual basis, and you agree not to pursue any dispute on a class, collective, or consolidated basis. No arbitration or proceeding shall be combined with another without the prior written consent of all parties.
18.4 Exceptions
This arbitration requirement does not apply to: (a) claims related to our intellectual property rights, or (b) claims for injunctive relief. In these cases, we reserve the right to seek relief in court.
19. CORRECTIONS
There may be information in the Services that contains typographical errors, inaccuracies, or omissions (including descriptions, pricing, availability, and other details). We reserve the right to correct such errors or omissions and to change or update the information at any time without prior notice.
20. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MMT PREP (INCLUDING P‑VAULT) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free.
- Any information or content obtained via the Services will be accurate or reliable.
- Your use of the Services will meet your expectations or achieve any particular results (including exam outcomes).
21. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MMT PREP AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF MMT PREP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MMT PREP’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO MMT PREP FOR THE APPLICABLE SUBSCRIPTION OR PRODUCTS IN THE SIX (6) MONTH PERIOD PRECEDING ANY CAUSE OF ACTION.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above exclusions or limitations may not apply to you.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless MMT Prep, its affiliates, officers, employees, agents, and partners, from and against any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services.
- Your breach of this Agreement.
- Your violation of the rights of a third party (e.g., intellectual property or privacy rights).
- Any overt harmful act toward any other user of the Services.
We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate at your expense with our defense of such claims.
23. USER DATA
We may maintain certain data that you transmit to the Services to manage performance, personalize your experience, or for other reasons consistent with our Privacy Policy. While we perform routine backups, you are solely responsible for all data you transmit and any activity you undertake using the Services. We assume no liability for any loss or corruption of data, and you waive any right of action against us arising from such loss or corruption.
24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You also agree to the use of electronic signatures and records.
25. CALIFORNIA USERS AND RESIDENTS
If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
26. MISCELLANEOUS
- Entire Agreement: This Agreement, along with any additional policies or terms referenced herein, constitutes the entire agreement between you and MMT Prep regarding the Services and supersedes all prior or contemporaneous understandings.
- No Waiver: Our failure to exercise or enforce any right or provision of this Agreement does not operate as a waiver of such right or provision.
- Severability: If any part of this Agreement is determined to be unenforceable, the remaining portions remain in full effect.
- Assignment: We may assign our rights and obligations under this Agreement at any time. You may not assign or transfer this Agreement without our prior written consent.
- No Agency Relationship: Nothing in this Agreement creates a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between you and MMT Prep.
- Headings: Section headings are for convenience only and do not affect interpretation.

29. ACCEPTANCE OF TERMS
By purchasing a subscription or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with these terms, you are prohibited from accessing or using the Services.
